In the course of operating their businesses, Young shaped an oral contract with Drury to buy several carloads of tomatoes. Drury inscribed a memorandum on his own letterhead for his personal records. The memo limited the terms of the agreement however was not signed by either party. Drury directed Young a copy for his records.
