I have a client that called today for help on his new bushiness. Darryl is starting a business with a friend. They are both experienced contractors, but this is their first company - much less partnership. Help me answer his questions.

The first think he asked is:

1. "What should we do for structure? Can we get by with a dba certificate with the city, or do we need to file with the State. I'm not sure about the difference in a corporation, partnership or LLC. I want to be protected against liability, but also want the best tax situation. I'm expecting to hire employees by 1/1/19."

Here is some more helpful information:

1. Both are married, and live in Texas.

2. Both are in their late 30s.

3. Both are experience in home construction, but know absolutely nothing about accounting.

4. Both love tailgating at Bobcat games (not too important in your answer, but we always want to give alumni the best possible information).
