Military Helicopters Take Off

OTTAWA-The federal government is moving forward in search of a replacement for the military's aging fleet of Sea King helicopters. The Defence Minister announced that tenders were being sought for a fleet of military helicopters. Brian Mulroney's Conservative government in 1 992 signed a $5.8-billion deal to buy 50 EH Industries EH-101 military/search-and- rescue helicopters. The Liberals cancelled the single contract after the 1 993 election and opted to split it into two, one military and the other search-and-rescue. A $790-million deal has been concluded with EH Industries for 15 search-and-rescue helicopters, and the new tender competition for the military craft is expected to include Sikorsky, the original builder of the Sea King.

In order to describe how EH Industries might feel after the Canadian government cancelled a $5.8 billion contract to purchase 50 EH-101(Cormorant) helicopters from them, I suggest you review the series of discharges of a contract other than by performance from textbook pages 139-153.

Consider what terms the plane manufacturer would have wished to include in order to protect itself, how each term could have been applied and, more practically, whether the government would be likely to agree. Also consider possible remedies for the government's breach of contract. Even when the law may theoretically be on the contractor's side, would it make good business sense to sue? Do you think the manufacturer made the best of a bad situation? Is there anything else they could have done under these circumstances?

You will likely find some commentaries about this online. You don't have to write too much. The most important thing for you at this stage is to understand the different ways of bringing a contract to an end. (For example, "subject to" clauses in interim real estate agreements.)
