The Case

Velrocore Corporation. manufactures and sells farm equipment. In 2015, Velrocore set up a wholly-owned subsidiary, Macrocore Combines Company, whose only business is to market Velrocore’s self-propelled combines and four-wheel-drive tractors. The sales of both products were at an all-time low.  Even though Velrocore was the sole owner of Macrocore, corporate law considers them to be legally separate companies. Velrocore asked current and former employees who were involved with the products to accept transfers of their jobs and retirement benefit plans from Velrocore to Macrocore. Velrocore projected that Macrocore could fail but this was not certain, and indeed, within two years, Macrocore did fail and went bankrupt.  Among other consequences, the retirement plan for current employees was terminated, plus the retirees stopped receiving benefits. Discuss the ethical issues by using the Jennings Law guidelines above.
