Buyer purchased a home theater system for $20,000 from Top Buy, Inc. As part of the written sales contract, Top Buy agreed to install the system for an additional $2,000. After the system was installed and Buyer began using it, the system developed problems.

Some problems were related to the manner in which the system was installed, some were related to technical problems with the system itself.   Analyze the contract and determine which rules apply.

a.UCC rules apply to the theater system contract because it involves sale of goods, but common law contract rules apply to the installation contract because it involves sale of service.

b.UCC rules apply to the theater system contract because it accounts for a major part of the total cost of the contract, but common law contract rules apply to the installation because it accounts for a minor part of the total cost.
