Hired an architect and intended to build expensive "up-market" homes. The plans for each house were at an advanced stage by late March, when, without any prior notice, Dalquith sent Carvel a cheque refunding Carvel's down payment. Dalquith informed Carvel it could not go through with the deal because Dalquith's parent corporation had applied for a zoning change and wished to construct luxury condominiums on the site. Dalquith also stated it had discussed the situation with the owner of land adjacent to the site Carvel had purchased, and the owner was willing to discuss selling an equivalent number of lots to Carvel.

Carvel's manager was very upset because the firm would have been ready to begin work immediately after the May 15 closing date. Carvel refused to consider the alternative lots offered by Dalquith. Carvel commenced an action, requesting transfer of the property and damages for any additional costs as a result of delay in the project.
