Employement Contract, Business Law and Ethics

I have a contract for employment, its is for a CTO position, giving me equity stake in the company, I do not agree with the offer and I have a counter offer, I need a experts opinion on the offer and my counter. I have the document ready to be reviewed. It is small document in word, about a 15 minute read.

Contract offer attached to job description if you want to review before you give me your offer.

I will need someone to help me with the negotiations if offers keep going back and forth.

I think your skill set we be perferct for this project.
