The International Corporate Governance and Regulation module focusses on and critiques different approaches to corporate governance taken in various jurisdictions. Despite the different forms of company law and differing rules about listing on the stock exchange in the various jurisdictions, most of the studies and reports about corporate governance are consistent in identifying the characteristics of good corporate governance. That is, everyone knows what good governance comprises; its characteristics are consistent across jurisdictions. What may vary across different jurisdictions and industries, and even across different companies, are their governance practices and the extent to which the companies practice good governance.
Your Project for this module is a detailed research report comparing the approaches to corporate governance adopted by two well-known multinational organisations in different industries. By now, you have chosen two multinational companies from two different industries and submitted a project proposal and an annotated outline of resources.
Your final report should focus on your findings in relation to the topic of corporate governance, including an analysis of relevant primary and secondary sources. After a review of the overall topic, your report should discuss, in detail, the approaches to corporate governance adopted by two well-known multinational organisations in different industries. You should compare and contrast in detail the ways in which the two companies have approached corporate governance, benchmarking these approaches against best practice as set out in corporate governance codes.
The Final Project Report should be between 1,500 and 2,000 words, plus bibliography and attachments. The evaluation and grade of your
