Jane is a dairy farmer who has purchased $5,000 USD worth of cattle feed under each of two contracts (Contract No. 1 and Contract No. 2) with Western Grains Co. Under those contracts, Western Grains has promised to deliver the feed to a destination specified by Jane before winter arrives. Jane's neighbor, Tony, also operates a dairy farm but is desperate because he has been unable to find a reliable source of cattle feed. Tony proposes to Jane that if today Jane assigns to Tony her right to receive the cattle feed under Contract No. 2, Tony will (a) pay Jane $5,000 USD and (b) will build a small barn for Jane on Jane's ranch at no cost to Jane. Tony is overwhelmed with work at the moment, but he says that he can start building the barn in late January of next year and will finish construction three weeks after that. Jane says to Tony, "That sounds like a good deal, partner, but let's put it in writing." Please draft only two portions of a contract between Jane and Tony, using text that reflects the following: Part 1: Jane's present transfer to Tony of her rights under Contract No. 2.
